1. Scope of Application

These terms of use apply to any use of the internet pages under the URL www.ZMDI.de, , www.ZMDI.com, www.ZMD-AG.de and www.ZMD-INT.com (hereinafter "Website") run by Zentrum Mikroelektronik Dresden AG (hereinafter "ZMDI"), Grenzstrasse 28, 01109 Dresden, Germany.

2. Preliminary Statement

Please read these terms of use carefully before using the Website. By using the Website you agree to the application of these terms of use. You are not entitled to use the website of ZMDI without agreeing to the application of the terms of use as laid down hereinafter.

3. Website

 3.1 The Website of ZMDI is open for use to everyone.

3.2 ZMDI endeavors to diligently support and maintain the Website. However, ZMDI does not warrant or guarantee that the Website is accessible at all times. ZMDI also does not warrant or guarantee that the Website is always up to date and that the information on the Website is complete and free from errors at all times. Delays, wording mistakes, omissions and wrong information may occur.

3.3 ZMDI reserves the right to change these terms of use as well as the content and structure of the Website at any time. This includes the right to claim fees for certain offers, services and/or products on the Website or to no longer offer such offers, services and/or products as well as the right to stop the operation of the Website in full or in part at any time. Due to the nature of the internet and computer systems, ZMDI does not warrant or guarantee the continuous availability of the ZMDI Website.

4. User’s Obligations

4.1 All users of the Website are responsible for all of their activities related to the Website.

4.2 All users are obliged to comply with the laws of the Federal Republic of Germany. In accessing or using the ZMDI Website the user shall in particular not

  • harm other persons, in particular minors, or infringe their personal rights;
    breach public morality in its manner of use;
  • violate any intellectual property right or any other proprietary right;
    upload any contents containing a virus, so-called Trojan Horse, or any other program that could damage data;
  • transmit, store or upload hyperlinks or contents to which the User is not entitled, in particular in cases where such hyperlinks or contents are in breach of confidentiality obligations or unlawful; or
  • distribute advertising or unsolicited e-mails (so-called "spam") or inaccurate warnings of viruses, defects or similar material and the User shall not solicit or request the participation in any lottery, snowball system, chain letter, pyramid game or similar activity.

4.3 The content on the Website, including the name ZMDI, product names, logos and other signs, are protected by law. They may not be used without the prior explicit written consent of ZMDI. Copies of such content, if such copies are permissible by law, particularly for private and scientific use, must be identified by the copyright notice of ZMDI. In all other respects, it is in particular prohibited to use respectively distribute of the content on the Website on a commercial or professional basis.

4.4 The content on the Website may not be changed, replaced and/or amended by content of a user.

4.5 User activities that aim at rendering the Website non-functional or at least obstruct the use of the Website are unlawful and may be prosecuted on the basis of civil and criminal law.

5. User Content and Data Privacy Protection

5.1 Please note that any information, data, material or other content (hereinafter "User Content") that you send to the Website will be deemed non-confidential and not protected by law. By sending any User Content to ZMDI you grant to ZMDI the right – without limitation as to territory, time and scope – to use, reproduce, display, modify, incorporate, license and distribute the User Content or to exploit the User Content in any other way whatsoever.

5.2 In particular, you agree that ZMDI may use any ideas, concepts, techniques or other know-how that you send to the Website for any and all commercial and non-commercial purposes.

5.3 For collection, use and processing of personally identifiable data of the User of the ZMDI Website, ZMDI shall comply with applicable laws on data privacy protection and the ZMDI Website Data Protection Privacy Policy.

6. Liability

6.1 ZMDI is liable only insofar as ZMDI, its vicarious agents and/or legal representatives have acted with intent or gross negligence. ZMDI is not liable for ordinary negligence unless material contractual obligations have been violated by ZMDI, its vicarious agents and/or legal representatives.

6.2 In case that ZMDI is liable for ordinary negligence according to Section 6.1, such liability of ZMDI, its vicarious agents and/or legal representatives does not include pecuniary , indirect, incidental, unforeseeable or untypical damages as well as loss of profit.

6.3 Statutory no-fault liability of ZMDI – in particular liability under a statutory guarantee - remains unaffected. This also applies to the liability of ZMDI resulting from wrongful harm to life, body or health.

6.4 Section 6.1 through 6.3 shall apply to all contractual and non-contractual claims that might result form the use of the Website.

7. Hyperlinks

The Website may contain hyperlinks respectively links to websites of third parties. ZMDI does not control the content of these websites and is not liable for the content of such websites of third parties. Also, ZMDI does not adopt the content of such websites of third parties and disclaims any liability for them. The use of such websites of third parties is at the own risk of the user.

8.Termination of Use Permit

8.1 If you violate these terms of use your permit to use the Website terminates automatically.

8.2 In this case, you are obliged to immediately destroy any content that you have downloaded or printed from the Website.

9. Miscellaneous

9.1 No provision in these terms of use provides for the explicit or implied grant of intellectual property rights, any other rights, licences or rights of use with regard to the content of the website of ZMDI.

9.2 These terms of use are subject to the laws of the Federal Republic of Germany with the exception of the United Nations Convention on the International Sale of Goods (CISG). The exclusive place of jurisdiction is Dresden if the user is a commercial entrepreneur.

9.3 In case that a provision of these terms of use is invalid or unenforceable the validity of the remaining provisions remains unaffected.
